Terms of business for the cooperation with listers of real estate

Thai property laws are there to protect you

Under the internet domain www.Thailand-Property-Gate.com the We can do it Co. Ltd. has created a virtual, multilanguage internet portal for the professional real estate industry, which allows private owners and professional agents to present their real estate objects to an interntional clientele.

A precondition for using the Thailand-Property-Gate portal is to become a member, which can be done by simply registering on the internet page of Thailand-Property-Gate. After registration the visitor of Thailand-Property-Gate will become a user and is then entitled to advertise/list real estate objects.

 It is imperative that with every property that is being offered, complete contact data are stated as well as the sale price and a comprehensive, precise and correct description of that property. All offers should be documented with photos, which can only be to the advantage of the lister.

By using the Internet, Thailand-Property-Gate will present to interested parties all data of real estate objects provided by listers. Thailand-Property-Gate will strive to adjust its services to any new developments. Thailand-Property-Gate does therefore reserve the right to make small changes to the agreed services, while at all times keeping in mind the interests of customers or contractual partners.

The We can do it Co., Ltd. or Thailand-Property-Gate (from here on called the operator) reserves the right to refuse or cancel listings. With this measure we intend to keep our portal free of listings which are of low quality, have unsufficient or misleading information, are lacking photografic material or are in other ways unsuitable.
The decision about which listings will be refused or cancelled is not contestable. It will be made entirely at the operator's discretion.


General terms for cost-free listings

The beneficiary (from here on called the supplier) of cost-free real estate advertisements with Thailand-Property-Gate (from here on called the operator) has the following rights and responsibilities:

  • Inquiries from interested parties regarding the properties advertised by the supplier will be directed exclusively to the operator.
  • The operator will conduct a thorough check of the interested party and its inquiry, whereby he will look at the sincerity, willingness to buy and the financial status of that party. If neccessary he will provide the inquirer with legal information and other kinds of support.
  • The supplier is not entitled to establish contact with any interested parties, while the operator has no obligation to pass on any inquiries to the supplier. All dealings and procedures will be handled by the operator.
  • During the sales proceedings the operator will - on a voluntary basis - assist the supplier with blank contract forms as well as with legal and other information free of charge. The extent of such help will be determined by the operator. The costs of hiring external legal experts or lawyers - should this become neccessary - will have to be borne by the supplier or the buyer/lessee respectively.
  • In case the supplier sells the listed property to a person introduced by the operator (including family members and friends of that person), the supplier has to pay to the operator a commission of five (5%) percent. This commission has to be paid on the day the buyer pays his deposit to the supplier. The commission is also payable if the actual sale price is either higher or lower than the price that was asked for in the listing. The supplier extends unrestricted customer protection to the operator: If the interested party buys a property from the supplier other than the one listed with Thailand-Property-Gate, the supplier pays in full the previously mentioned commission to the party who arranged the deal.
    The duty of the supplier to pay this commission to the operator for having acted as an agent has no time limit and will persist even after the listing has been cancelled.
  • It is the supplier's obligation to inform the operator per phone or e-mail as soon as the listed property has been sold or let.
     

Listers' statements

The lister pledges to make only serious offers on the Thailand-Property-Gate website, to make sure that the information about a property given to Thailand-Property-Gate is true and correct, and to retract the offer as soon as the property in question is no longer available. Furthermore it is the lister's obligation to advertise only properties that belong to himself, or for which he is an authorised agent or representative.

Only the lister is solely responsible for the contents and correctness of all information provided. It is his duty to mention all relevant and important features of the property on offer. He also pledges not to divulge data, the contents of which could infringe on the rights of third parties (i.e. rights of private persons, names or brand names), or which contravene Thai laws. The lister absolves Thailand-Property-Gate from any responsibility for claims made by any third party because of such contraventions. That also includes the reimbursement of costs for legal representation.

Improper and illegal offers could be deemed a misuse of the website by Thailand-Property-Gate. Such offers can be deleted by Thailand-Property-Gate without prior announcement.

Examples of such cases would be:

  • Attracting interested parties with untrue information.
  • A false declaration regarding the location of the object.
  • Offers that are being misused as advertising platforms for companies.

 Non-transferability / password responsibility

The listers' rights and obligations resulting form a contract with Thailand-Property-Gate are not transferable.

 The password that gives the lister access to all data and private information, has to be kept confidential and must not be revealed to third parties. It is the lister's duty to take the necessary precautions, so that his password cannot be accessed by any unauthorised party.

 Rights

 All rights (copyright and brand name protection) regarding the database, including all its contents and additional elements are reserved by Thailand-Property-Gate. The lister's rights in regards to the contents of his advertisement are not curtailed by this clause.

It is the lister's right to use the online search panel provided by Thailand-Property-Gate and to access the various data and/or make printed copies of them. Queries with the help of computer programs (scripts etc.) are not allowed.

Information regarding copyright or any other rights given on the website of Thailand-Property-Gate must not be altered in any way.

The lister is not allowed to use the obtained data, neither entirely nor partially, for any commercial purpose or further dissemination of information. The linking, integration or connection of the database, or parts thereof, with other databases is not permitted.

 Usage of information provided by Thailand-Property-Gate

 The lister may use the inquiries received in regards to his offer, only in connection with the relevant real estate deal at hand. The dissemination of such information to third parties or the use of that information for other purposes is not allowed.

 Disclosure of additional information on properties being offered

 Thailand-Property-Gate reserves the right to give listers and seekers personal and/or other people's additional information about a property or to convey additional offers.

 Handling of data

 The data given by customers to Thailand-Property-Gate will be used exclusively for the purpose of fulfilling the customer's orders. Thailand-Property-Gate will always respect the existing data protection regulations.

 Liability

 If Thailand-Property-Gate should neglect to place a customer's listing on its website, the customer has the right to ask for a later placement or reimbursement of the costs of that listing. Any reimbursement for services not rendered, yet paid by the customer, shall not exceed the amount paid by the customer for that particular service.

 Thailand-Property-Gate merely offers a communications platform. After a lister and a seeker of a real estate project have made contact, they are solely responsible for any further dealings. Whatever they undertake from that moment on, is subject to the conditions agreed between themselves.

 Actual pricing - extension of term

 Prices for the services of Thailand-Property-Gate (which initially are free of charge) will be charged according to the price list valid at the time an order is placed. Free services will only be converted to paid services when the lister specifically gives his consent. No service provided at no charge by Thailand-Property-Gate will be changed automatically to a payable service. This can only happen upon specific instruction by the advertiser.

 In the case of an extension of the agreed duration of a listing (not applicable during 2009) a price for the period of the extension will be charged which corresponds to the price list valid at the time of the extension.

 Juridical competency

 If legal disputes should arise, these will be dealt with according to Thai law. Seat of the court is Bangkok/Thailand.

Should any passages of these business terms not fully conform to the Thai jurisdiction, they will be changed accordingly while maintaining the closest possible meaning to the terms stated above.

 Thailand-Property-Gate reserves the right to change these terms of business at any time, without giving any reasons for doing so and with no prior notice.

Access to the Thailand-Property-Gate database

Thailand-Property-Gate provides seekers of real estate with free internet access to all real estate objects listed on its website.

Usage of information gained from listings

Information obtained from the Thailand-Property-Gate database can only be used personally in connection with a concrete interest in the purchase or the renting of the object inquired about.

Rights

All rights (copyright and brand name protection) regarding the database, including all its contents and additional elements are reserved by Thailand-Property-Gate. The lister's rights in regards to the contents of his advertisement are not curtailed by this clause.

On request Thailand-Property-Gate will supply interested customers with free newsletters and/or additional information. There is no legal right to this information. Thailand-Property-Gate can terminate the issuing of newsletters and information materials at any time.
